Terms of Service

These Terms of Service ("Terms") govern your use of the Prepwell™ mobile application and website (collectively, "the Service") operated by Prepwell Nutrition LLC, a South Carolina limited liability company ("Prepwell", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility

To use Prepwell, you must be at least 17 years of age and capable of forming a legally binding contract under applicable law. By creating an account or otherwise using the Service, you represent and warrant that:

  • you are at least 17 years old;
  • you have the legal capacity to enter into these Terms;
  • the information you provide during account creation is accurate and complete; and
  • your use of Prepwell does not violate any applicable law or regulation.

If you do not meet these eligibility requirements, you may not use Prepwell. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if we determine that a user does not meet these requirements.

2. Your Account

You are responsible for maintaining the security of your account credentials. We're not liable for any loss or damage from unauthorized access to your account. If you suspect unauthorized use, contact us immediately at info@prepwellnutrition.com.

3. Subscriptions and Billing

  • Subscriptions: Prepwell offers a free tier and an optional Premium plan, sold as an auto-renewing subscription. Current pricing is shown in the app at the time of purchase and is processed by Apple (App Store) or Google (Google Play).
  • Free trials and introductory offers: If a free trial or introductory offer is available, the terms (including duration and any payment method requirements) will be disclosed in-app at signup. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current price.
  • Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the current period ends.
  • Cancellation: You may cancel at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Refunds: All billing is handled by Apple or Google. Refund requests are subject to their respective policies. If you believe you were charged in error, contact us within 14 days and we'll assist where possible.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Attempt to reverse engineer, decompile, or extract the source code of the app.
  • Use automated tools to scrape, crawl, or harvest data from the Service.
  • Interfere with or disrupt the Service's servers or infrastructure.
  • Use the Service to harm, harass, or defraud others.
  • Create multiple accounts to circumvent trial period limitations.

5. Health and Nutrition Disclaimer

Prepwell provides meal planning and nutrition information for general wellness purposes only. The Service is not a medical or clinical tool. Nothing in the app constitutes medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before making significant changes to your diet, especially if you have a medical condition. We're not liable for any health outcomes resulting from use of the Service.

6. User Content

You retain ownership of any content you submit (photos, notes, ratings). By submitting content, you grant us a limited, non-exclusive license to use it to provide the Service. We do not claim ownership of your data. You can delete your content at any time through account deletion.

7. Intellectual Property

All software, design, text, graphics, and other content in the Service (excluding your own content) are owned by Prepwell Nutrition LLC or licensed to us. Prepwell™ and Prepwell Nutrition™ are trademarks of Prepwell Nutrition LLC. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Third-Party Services

The Service integrates with third-party providers (Firebase, Spoonacular, Anthropic, RevenueCat, and others). Use of those services is subject to their own terms and privacy policies. We're not responsible for the practices of third-party providers. When you place a grocery order through a partner such as Instacart, Kroger, or Harris Teeter, Prepwell may earn a commission from that partner. This comes at no additional cost to you and does not affect the prices you pay.

Grocery lists and orders. Prepwell builds your shopping list from your meal plan and matches each ingredient to a store product and package size. Errors can occur in matching or quantities. You are responsible for reviewing every item and quantity in your cart for accuracy before you place an order. Orders are placed with and fulfilled by the retailer or ordering partner under its own terms; Prepwell is not a party to the sale and is not responsible for order errors, substitutions, out-of-stock items, delivery, pricing, or refunds. If you find an error, tell us at support@prepwellnutrition.com and we will correct it.

9. Service Availability

We make reasonable efforts to keep the Service available, but we don't guarantee uninterrupted access. We may perform maintenance, updates, or modify features at any time without prior notice. We're not liable for any downtime or service interruptions.

10. Termination

We reserve the right to suspend or terminate your account at our discretion for violations of these Terms, fraudulent activity, or conduct harmful to other users or the Service. You may terminate your account at any time by contacting us or using the in-app account deletion feature.

11. Limitation of Liability

To the fullest extent permitted by law, Prepwell is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or that nutritional information, grocery lists, ingredient matches, or quantities will always be accurate.

13. Governing Law

These Terms are governed by the laws of the State of South Carolina. Any disputes shall be resolved in the courts of South Carolina.

14. Changes to These Terms

We may update these Terms periodically. We'll notify you of significant changes by email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
